Terms of Use

These Terms of Use ("Terms") govern your access to and use of qanopygroup.com and its content, features, downloads, frameworks, tools, and other materials (collectively, the "Site"). The Site is operated by R&S Pearlstein, Inc., doing business as Qanopy Group ("Qanopy," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Informational Purpose

The Site provides general information about Qanopy, its services, perspectives, experience, and approach. Site content is provided for general informational and educational purposes only. It does not constitute legal, financial, investment, tax, engineering, or other professional advice and should not be relied upon as a substitute for advice tailored to your circumstances.

Use of the Site, submission of a form, receipt of materials, or communication through the Site does not by itself create a client, advisory, fiduciary, partnership, employment, or other professional relationship with Qanopy. Any engagement with Qanopy is governed only by a separate written agreement signed by the relevant parties.

2. Ownership and Intellectual Property

The Site and all content and materials made available through it—including text, articles, reports, case studies, graphics, designs, photographs, videos, trademarks, logos, frameworks, methodologies, templates, worksheets, tools, downloads, and the selection and arrangement of those materials—are owned by Qanopy or its licensors and are protected by copyright, trademark, trade-secret, and other intellectual-property laws.

Qanopy, Qanopy Group, associated logos, and other Qanopy names and marks are trademarks or service marks of Qanopy. No license to use any mark is granted without Qanopy's prior written permission.

3. Limited Permission to Use the Site

Subject to these Terms, Qanopy grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for your own internal, lawful, non-commercial informational purposes.

You may download or print a reasonable number of copies of materials that Qanopy expressly makes available for download, solely for your internal use, provided that you retain all copyright, trademark, attribution, and other proprietary notices. No other rights are granted by implication, estoppel, or otherwise.

4. Prohibited Uses

Unless Qanopy gives prior written permission, you may not:

• Copy, reproduce, republish, upload, post, transmit, distribute, sell, license, sublicense, publicly display, or commercially exploit Site content;
• Modify, translate, adapt, reverse engineer, decompile, disassemble, or create derivative works from any Site content, framework, tool, download, or software component;
• Use Qanopy content to develop, train, improve, benchmark, or provide input to an artificial-intelligence or machine-learning system;
• Remove or alter any copyright, trademark, attribution, confidentiality, or other proprietary notice;
• Share, publish, sell, transfer, or misuse an access code, password, restricted download, or gated resource;
• Scrape, crawl, harvest, index, or use automated means to access or extract Site content, except as expressly authorized by Qanopy or through standard search-engine indexing that complies with our technical instructions;
• Attempt to gain unauthorized access to the Site, another account, or any related system or network;
• Introduce malware, harmful code, or content that interferes with the Site's operation or security;
• Impersonate another person or misrepresent your identity, affiliation, or the source of information; or
• Use the Site in violation of law or in a manner that infringes or harms the rights of Qanopy or another person.

5. Gated Materials and Access Codes

Certain frameworks, tools, presentations, downloads, or other materials may require registration, an access code, or Qanopy's approval. You agree to provide accurate information, keep access credentials confidential, and promptly notify Qanopy of suspected unauthorized use. Access is personal to the authorized recipient and may not be shared unless Qanopy agrees in writing.

Qanopy may change, suspend, or revoke access to restricted materials at any time. Additional terms displayed with a particular resource or included in a client agreement will control if they conflict with these Terms.

6. User Communications and Feedback

If you submit an inquiry, request, suggestion, idea, or other communication through the Site, you represent that you have the right to provide it and that it does not violate law or another person's rights. Please do not send confidential or proprietary information through the Site unless Qanopy has agreed in writing to receive it confidentially.

If you voluntarily provide general feedback about the Site or Qanopy's services, Qanopy may use that feedback without restriction or compensation, provided that this does not give Qanopy ownership of your confidential information or pre-existing intellectual property.

7. Third-Party Links and Services

The Site may contain links to, integrations with, or content from third-party websites and services. These are provided for convenience and do not imply endorsement, sponsorship, or control by Qanopy. Qanopy is not responsible for the availability, accuracy, security, content, products, services, or privacy practices of third parties. Your use of a third-party site or service is governed by that third party's terms and policies.

8. No Warranties

To the fullest extent permitted by law, the Site and all content, materials, downloads, and features are provided "as is" and "as available." Qanopy disclaims all warranties, express, implied, or statutory, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, title, non-infringement, availability, and security.

Qanopy does not warrant that the Site will be uninterrupted, error-free, free of harmful components, or that content will remain current or suitable for a particular purpose. You use the Site and rely on its content at your own risk.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

9. Limitation of Liability

To the fullest extent permitted by law, Qanopy and its officers, directors, employees, advisers, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, or business interruption, arising out of or related to the Site or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, the aggregate liability of Qanopy and the other parties identified above for all claims arising out of or related to the Site or these Terms will not exceed the greater of (a) the amount you paid Qanopy specifically for access to the Site during the 12 months before the event giving rise to the claim or (b) US$100.

The limitations in this section do not apply to liability that cannot lawfully be excluded or limited.

10. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Qanopy and its officers, directors, employees, advisers, contractors, affiliates, and licensors from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising from your unlawful use of the Site, your material violation of these Terms, or your infringement of another person's rights.

11. Changes, Suspension, and Termination

Qanopy may update, correct, modify, suspend, restrict, or discontinue any part of the Site or its content at any time without liability. Qanopy may also suspend or terminate your access if it reasonably believes you have violated these Terms, created risk or potential legal exposure, or misused the Site.

We may revise these Terms from time to time. The revised Terms will be posted on this page with an updated Effective Date. Your use of the Site after revised Terms become effective constitutes acceptance of those Terms.

12. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Contra Costa County, California, and you consent to the personal jurisdiction and venue of those courts.

13. General Terms

If any provision of these Terms is found unenforceable, it will be modified only to the minimum extent necessary or severed, and the remaining provisions will remain in effect. Qanopy's failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without Qanopy's prior written consent. Qanopy may assign these Terms in connection with a reorganization, merger, acquisition, sale of assets, or by operation of law.

These Terms, together with the Privacy Policy and any additional terms presented for a particular feature or resource, constitute the entire agreement between you and Qanopy concerning use of the Site.
